Jamison Gardner

Associate
Background

Jamison advises founders, funds, and crypto-native companies on the transactions that define their capital structure, from first money in through growth-stage rounds and token launches. He works on both sides of the table, representing companies raising capital and investors deploying it.
‍

Jamison began his career at Fenwick & West LLP, where he worked primarily with the firm's cryptocurrency and startup groups on venture financings, token launches, and emerging company matters for technology and digital asset clients.
‍

At Day One Law, his crypto and startup practice covers venture finance, token structuring, and crypto regulatory strategy. He drafts and negotiates priced rounds, SAFEs, token warrants, and token purchase agreements, and advises on entity structuring and regulatory positioning for token issuers and platforms. He also has experience with tokenized fund matters, including reviewing and negotiating fund documents and offering terms, with additional experience on the sponsor side of fund structuring. Alongside that, he handles the general corporate and commercial work early-stage companies need to keep moving, including formation, equity administration, contractor and employment agreements, and terms of service. Clients rely on him for fast turnaround and sound advice that moves matters forward.
